"For the last thirteen of my twenty years in
business litigation, my focus has been on the
promotion of the rights of people who own stock or
partnership interests in all kinds of businesses. I
have written and lectured extensively in this unique
and developing area of the law and have handled
cases on the 'cutting edge' of the law of
shareholder oppression. If you think you or your
clients are being 'squeezed out' or cheated by
business partners, I can help your team develop a
legal strategy designed to maximize the protection
that the law affords."
--Eric Fryar
Eric Fryar has been practicing business litigation in Houston, Texas
since 1989. During that time, he has tried complex commercial
lawsuits in Texas and may other states. He founded Fryar Law Firm,
P.C. in 2006 with the goal of helping more small business owners by
consulting with attorneys all over the country on the latest
developments in shareholder rights.
Consulting In Existing Disputes
Fryar Law Firm assists business owners and their attorneys in recognizing and protecting business ownership rights. We consult with
attorneys who represent shareholders, partners and other small business owners regarding their rights and duties and the legal remedies for
oppression, mismanagement, misappropriation, waste and other breaches of fiduciary duties. We consult in on-going litigation nationwide to
generate legal theories, develop litigation strategy, and produce briefing on this complex and rapidly changing area of the law. We also help
attorneys avoid the many ethical traps that can arise in shareholder litigation.
Counseling Business Owners in Dispute Resolution Before a Lawsuit
Fryar Law Firm counsels shareholders and small business owners in resolving disputes with their business partners. We advise minority
shareholders at the first appearance of oppressive conduct, educate them as to their rights, and help them position themselves to best protect
their interests. We also consult with companies and controlling shareholders when relations among the other owners start to go south and
advise them on the rights and duties at issue. Often we can help them avoid costly missteps in the event that litigation ensues.
Representing Business Owners in Litigation and Appeals
Fryar Law Firm represents business owners in lawsuits with their partners and is willing and able to take the case before a jury or before the
appellate courts if necessary. We represent aggrieved shareholders in lawsuits asserting shareholder oppression claims and in shareholder
derivative suits asserting claims on behalf of their corporations. We also represent companies and individuals who are defending against such
claims. We believe that our focus on representing minority shareholders gives us unique insights when we are on the defense side and helps
our clients avoid some of the mistakes that defendants commonly make in these kinds of lawsuits. We are often brought in to represent the
interests of the corporation in lawsuits among the shareholders. We are also often brought in as co-counsel to assist on the briefing and
argument of the legal points in shareholder cases or to handle post-verdict motions and appeals.
General Business Litigation
Fryar Law Firm maintains its general business litigation practice and represents plaintiffs and defendants in a variety of commercial disputes,
ranging from breach of contract and commercial fraud to landlord-tenant disputes to defamation.
